FRANK VARGAS

Specializes in helping emerging growth companies and has substantial experience advising and representing private and public companies, with particular emphasis in high-technology industries.

As the Co-Founder of over 26 companies, I understand how to build companies. I spend a great deal of time providing introductions to investors, advisors and potential partners as part of my work. 

I began representing Venture and Private Equity Funds because of my work with emerging growth companies. Since 1986, I have been representing Venture and Private Equity funds in their fund raising and investment activities as well as their regulatory matters related to the Investment Advisors Act and the Commodity Futures Act. I have also represented a number of Broker Dealers with their regulatory issues with FINRA and the SEC. 

I started practicing law in the early 1980's in Palo Alto and moved to Minneapolis in 1989. I cofounded Aethlon Capital LLC, a Minneapolis investment banking boutique in 1995. Following Aethlon, I served as Executive Vice President, Director of Corporate Finance for Dougherty Securities, a Minneapolis investment bank. I returned to practicing law at Gray Plant Mooty from 2001 until 2012. I joined Rimon Law Group in Palo Alto in January of 2013.
I am on the adjunct faculty of Santa Clara University Law School where I taught Business Organizations and teach Legal Issues of Start Ups, the University of St. Thomas where I taught a course on entrepreneurship, Saint Mary's University where I taught a Master in International Business course on entrepreneurship, and the University of Minnesota where I co-taught a seminar on entrepreneurship.

Specialties: Venture capital fund formation and financings; Private and public securities work including initial public offerings, secondary public offerings, and mergers and acquisition. Investment Advisor, Broker Dealer and Commodity Futures law.

 

Throughout the course, guest speakers and practitioners will be interviewed to provide some examples of concrete applications of the contents presented.
